Form ADV Part 2A and Part 2B.

Form ADV Part 2A is the firm's disclosure brochure. It states the advisory services offered, how fees are calculated and billed, the conflicts of interest that exist and how they are managed, the types of clients served, and disciplinary information where there is any. It is the document to read before agreeing to anything.

Form ADV Part 2B is the brochure supplement. It covers the individual who will actually advise you: education, business experience, other business activities, and disciplinary history where there is any.

You may request the current Form ADV Part 2A Disclosure Brochure and Form ADV Part 2B Brochure Supplement of Golden Capital Partners LLC at no cost. Requests are reviewed before any document is released, and the documents are delivered by email to the address you provide.

They are sent rather than posted for a reason. What arrives is the version in effect on the day it is sent, not a file that has been sitting on a web server since the last amendment, and the firm keeps a record of the disclosure documents delivered to you. That record is a requirement of the relationship, not an inconvenience.

How to request them.

Open Strategic Intake and choose the objective Form ADV Part 2A/2B / agreement request. Name what you want — Part 2A, Part 2B, the advisory agreement, or all of them — and give the address the firm should send them to.

Requesting costs nothing. Submitting a request does not establish an advisory relationship, does not create any obligation on your part or on the part of Golden Capital Partners LLC, and is not an offer or solicitation of advisory services.

The investment advisory agreement.

The advisory agreement is the instrument that creates the advisory relationship. It sets the scope of the mandate, the discretion the firm does and does not have, how fees are calculated and when they are charged, the term, how either side ends it, and the notices and disclosures that accompany it.

It is not a brochure, so it is not published. It is prepared for a specific client and a specific mandate, and it is delivered with the current Form ADV once the firm and the client agree there is an engagement to document. Nothing in it is in force until it is signed.

Qualified Client is an RIA review. It is not QEP.

Performance-based advisory fees are available only where the client meets the Qualified Client test under the applicable rule framework and the firm's own policy. That review looks at the client's circumstances, the contract and the jurisdiction at the time the contract is entered into.

Attestation is not verification. Selecting an option on a website, running a threshold calculator or stating that you qualify does not establish the status. The firm reviews it against evidence, and current law controls.

This is the investment advisory side of the firm. It is not participation in the commodity trading advisory program, and it does not involve the Qualified Eligible Person test under CFTC Regulation 4.7. If you came here looking for the trading program, this is the wrong path — the CTA documents path is the right one.

Where advisory accounts are held.

The advisory relationship is with Golden Capital Partners. The brokerage account that holds the assets is opened with and carried by TradeStation Securities, Inc., which is not affiliated with Golden Capital Partners LLC. TradeStation provides the account infrastructure — custody, execution, clearing and statements. It does not provide the advice.

That separation has a practical consequence worth knowing before you start. You give your own identifying and financial information — Social Security or tax identification number, date of birth, employment and financial detail — directly to TradeStation on its own application. Do not enter it on a form here and do not send it to the firm by email. The firm does not collect it and does not want it.

An individual, entity or trust can present different account-opening and authority questions. A trust-owned or trust-related advisory relationship is supported only where the custodian accepts the account type and the firm has approved compliance and legal documentation. No trust form or requirement is supplied or implied by this page.

The TradeStation pages set out the account types and the current account-opening path. The firm will ask which account type you want to open and in which state or country you or the entity are resident, because the application differs. When the advisory documents are sent, the correct current TradeStation application for that account type is sent with them, so the brokerage application and the advisory documents arrive together rather than as two disconnected errands.

The order of operations.

  1. Tell the firm what you are trying to accomplish and over what horizon.
  2. Receive and read Form ADV Part 2A and Part 2B.
  3. Ask the questions the brochures raise. This is the point at which to ask them.
  4. The firm proposes the mandate and, where performance-based fees are contemplated, completes the Qualified Client review.
  5. Execute the investment advisory agreement.
  6. Open or authorize the brokerage account at TradeStation and complete its own application, using the application the firm sends with the advisory documents.
  7. Fund the account. The advisory relationship begins when the agreement is in force and the account is in place — not before.

No step on this list is performed by this website. Each one is a decision taken by you and by the firm.

What this page does not do.
